Tokio Marine Holdings, Inc. (the "Company") hereby announces that, in order to enable more people to become shareholders of the Company and support its growth, it has decided to conduct a stock split (a 15-for-one stock split) and introduce a shareholder benefits program. Under the shareholder benefits program, shareholders who continuously hold at least 100 shares of the Company for three years will receive an initial benefit worth 7,500 yen, followed by benefits worth 2,500 yen each year thereafter. The Company also announces that it has decided, in connection with the stock split, to partially amend its Articles of Incorporation, revise its dividend forecast, and amend certain matters relating to its share repurchase program.

Accordingly, by significantly lowering the investment unit through the stock split, we aim to make the Company’s shares more accessible to a broad range of investors and enable more people to support the Company’s efforts.
Through the introduction of the shareholder benefits program, we also aim to express our appreciation for shareholders’ support of the Group’s efforts and enable them to recognize even greater sense of value in being a shareholder of the Company. Eligibility for the shareholder benefits program will be limited to shareholders who have continuously held the Company’s shares for at least three years. This reflects our hope that shareholders will support Tokio Marine Group over the long term in its efforts toward Aspiration 2035, rather than hold the Company’s shares for the short term.

1. Stock split
(1) Purpose of the Stock Split
The purpose is to lower the investment unit through the stock split, thereby creating an environment where it is easier to invest in the Company’s shares and expanding its investor base.
(2) Method of the Stock Split
Each share of common stock held by shareholders as of the record date of September 30, 2026 will be split into fifteen shares.

2. Introduction of a Shareholder Benefits Program
(1) Purpose of Introducing the Shareholder Benefits Program
The Company will introduce a shareholder benefits program with the aim of enhancing the attractiveness of investing in the Company’s shares and encouraging more shareholders to hold the Company’s shares over the medium to long term.
(2) Record Date
The first record date under the program will be March 31, 2027, and the record date thereafter will be March 31 of each year.
